The Role

Location: Bangalore or Mumbai, but with an initial induction period in London


  • CDC Group plc (CDC) is seeking to hire a corporate lawyer to:

  • Advise on equity investments in businesses, joint ventures and infrastructure projects. The investments will principally be in India, Bangladesh, Myanmar, Nepal and Pakistan but the candidate may also work on transactions in Africa;

  • provide more general support on CDC India’s advocacy, corporate and compliance requirements and assist other business lines.

  • The role is within CDC’s Legal Team. Although the lawyer will be based in India and work closely with the management of CDC India and CDC’s investment teams, they will initially report to the General Counsel in London. Depending on how the role evolves and the needs of the business, it is anticipated that the lawyer will in time report to the Managing Counsel responsible for Direct Equity.

  • The role is an exciting opportunity for a mid-level lawyer to develop their skills by working on complex and bespoke transactions in diverse markets. They will be able to learn from an experienced team of senior lawyers drawn from private practice and from in-house roles at other financial institutions.

  • The Legal Team supports CDC in all legal aspects of its investment business and also provides corporate legal and regulatory advice to the CDC board. Within the Legal Team we have three groups, each focused on a CDC business line: Direct Equity, Intermediated Equity (i.e. funds) and Direct Debt. Lawyers from these groups frequently work together, particularly on deals which cross disciplines (such as an equity investment in a project-financed infrastructure project).  The Legal Team also works closely with the relevant investment teams and with other functions such as the Environmental & Social (E&S) Team and the Business Integrity (BI) Team.

  • The Legal Counsel will report to the General Counsel on corporate matters, but will also be part of the Direct Equity group in the Legal Team.


Corporate support

  • Providing counsel to CDC India’s Managing Director and CDC’s General Counsel to ensure that CDC’s India (and eventually Bangladesh and Nepal) operations comply with all applicable legal, regulatory and tax requirements and with CDC’s corporate and approval structures
  • Assisting the General Counsel to implement any new corporate or fund management structures or tax arrangements
  • Supporting CDC India’s company secretary and CDC’s Director, Business Integrity, to ensure that appropriate compliance procedures are operated in India (and eventually, Bangladesh and Nepal) and acting as interim company secretary if needed
  • Providing ad hoc counsel and support on legal issues arising across from non-equity investments (i.e. direct lending and fund investments) and working with the Legal team in London as required on these investments, including assisting with early stage matters such as non-disclosure agreements, term sheets and engagement letters for South Asia matters

Equity Investments

  • Advising CDC on all stages of its investments, including the structuring, execution, portfolio management and divestment processes, ensuring that CDC’s investment is protected and its requirements are met
  • Supporting and managing the legal aspects of equity investment transactions in conjunction with the investment teams, ensuring that transactions are pursued in a timely manner and legal risks are identified and managed
  • Instructing and managing external counsel
  • Project-managing broader elements of transactions (such as taxation, E&S and BI matters) to ensure that all relevant input is obtained and CDC’s core requirements (including those in CDC’s Code of Responsible Investing) are met
  • Interpreting due diligence reports and other advice from external counsel on material legal risks and applying them to the commercial context to solve problems
  • Explaining legal issues and risks concisely to investment professionals and making timely, well-reasoned, independent and transparent recommendations
  • Reviewing investment documentation for a broad range of investment structures and facilities, such as subscription and shareholder agreements, joint venture agreements and convertible loan facilities
  • Advising on investments in jeopardy and supervising litigation
  • Dealing with miscellaneous matters, including non-disclosure agreements and engagement letters and supervising more junior staff on these matters
  • Contributing to papers and minutes for investment committee on legal aspects of transactions and briefing CDC’s senior management and investment teams on legal issues (verbally and in writing) as and when required
  • Building and sharing know-how and best practice amongst both the Legal Team and other CDC colleagues, including giving training and developing precedents as required
  • Supporting CDC’s E&S and BI compliance processes (NB anti-money laundering and other compliance matters are principally the responsibility of the BI Team) and provide legal advice as required on BI and governance requirements

Technical Skills

  • A qualified lawyer in India with at least six years’ post-qualification experience at a major law firm or investment fund working on:
  • private equity and growth capital investment (essential)
  • cross-border investment (strongly preferable)
  • transactions in developing markets (preferable)
