The Role


  • The role is a consequence of CDC’s evolving investment programme with its increased emphasis on debt investments in developing countries and a growing investment pipeline.
  • The role will focus mainly on project finance (mostly as lender but also as borrower) as well as other debt investments and the provision of legal support to CDC’s debt/structured finance and infrastructure teams.
  • The role is within CDC’s Legal team, reporting to CDC’s Managing Counsel (Debt/Project Finance). He or she will, however, work closely with CDC’s other lawyers, particularly its Legal Counsel (Debt/Project Finance) and CDC’s investment teams.
  • Providing legal advice in relation to the company’s integrity (including anti-bribery and corruption and anti-money laundering) and governance requirements.
  • Supporting the General Counsel on ad hoc corporate matters as and when requested.



  • Reviewing the full suite of project finance documentation including common terms, loans, sponsor support, accounts, subordination, security, political risk insurance and inter-creditor agreements as well as equipment supply, construction, operation and maintenance and off take arrangements;
  • Instructing and managing external counsel on the above transactions, and ensuring CDC's specific legal and compliance requirements are addressed;
  • Project-managing related aspects of transactions (such as compliance, finance and environmental and social, and business integrity) to ensure that the relevant teams' input is obtained/taken into account and transactions are pursued in a timely manner;
  • Advising CDC’s investment teams on the above, including interpreting and applying due diligence reports and other advice from external counsel to material legal risks in a commercial context, and on ad hoc contractual matters;
  • Contributing to papers for investment committees on the legal aspects of transactions and reviewing investment and other committee meeting minutes;
  • Dealing with miscellaneous matters, including conflicts of interest, non-disclosure and third party engagement agreements;
  • Building and sharing best practice knowledge with both the Legal team and other CDC colleagues including developing and updating precedents as required; and
  • Briefing CDC’s senior management and investment teams on legal issues (including producing advice papers) as and when required.


The Candidate


  • A lawyer with at least 5 years’ post-qualification experience in project finance at a major law firm or the legal department of a financial institution.
  • Qualified in the UK, US or other common law jurisdiction. Other jurisdictions considered if demonstrable experience in working with English law finance documentation.
  • Proven reviewing, negotiating and drafting skills.
  • Commercial mindset and ability to explain legal issues and risks concisely to investment professionals, recommend appropriate courses of action and resolve problems.
  • Ability to assess risks and make well-reasoned, independent and transparent decisions with quick turnaround expectations.
  • Experience of “know your customer”, anti-money laundering and anti-bribery and corruption policies desirable.
  • A self-starter – able to work without the back-up traditionally associated with large companies (particularly law firms). Therefore, a willingness to “muck in” and get involved in all areas of the business when required.
  • An effective team player with strong communication, organisational and interpersonal skills.
  • Cultural sensitivity and a proven ability to work across cultures.
  • An awareness of and appreciation for CDC’s objectives and a real desire and passion to be part of CDC’s development.
  • Flexibility and willingness to travel to the countries in which CDC invests.
  • An understanding of the remuneration and its structure, with the trade-offs it requires and a level-headed degree of long-term comfort with it.
