Job Description – Paralegal (Funds Group)

As a paralegal of the investment funds and corporate group, you are required to assist the lawyers in a variety of private equity and mutual fund formation, PE/VC investments, M&A, and capital market matters, including:

  • prepare fee estimates and engagement letters;
  • assist in incorporation and fund formation / de-registration:
    • proactively manage incorporation and fund formation process;
    • prepare first draft of the launch resolutions and constitutional documents;
    • prepare statutory filings and declarations;
    • liaise with foreign office secretaries (Cayman office) to arrange filings; and
    • liaise with registered office services providers ("RO Provider") and the compliance team from time to time to ensure client due diligence have been received;
  • assist responsible lawyers in PE investments and M&A matters:
    • review statutory records and prepare first draft due diligence report;
    • prepare first draft of customary legal opinion and ancillary transaction documents, including authorising resolutions, forms, letters and instruments;
    • assist with closing;
  • assist responsible lawyers in capital market transactions:
    • liaise with instructing counsel on group reorganisation documents;
    • prepare standard form documents including legal opinions, directors' certificates, and consent letters;
    • prepare and maintain closing checklist and actively manage the process; and
    • liaise with instructing counsel and clients on general enquiries;
  • assist responsible lawyers in general corporate work:
    • draft corporate documents, including application for shares, share transfer form, consent to act and resignation letter;
    • conduct company and court searches;
    • prepare first draft of resolutions; and
    • liaise with RO Provider to ensure that the relevant register has been accurately updated; and
  • legal translation. 



  • Undergraduate degree, with academic background in legal
  • 3 years of experience working in a legal environment as a paralegal or legal assistant; and
  • Excellent writing skills; fluency in both spoken and written English and Chinese. Proficiency in Putonghua.
